Welcome to www.thewheellife.coma community for wheelchair users, their friends, family, and related groups andassociations. By registering to become a member of thewheellife.com community(‘the Community’) and accessing thewheellife.com website (‘the Site’)and using the facilities, applications and programs therein (‘the Services’)you agree to be bound by the Terms of Service herein (this ‘Agreement’).
The Service and Site is operated by The Wheel Life LLP.(‘we’, ‘us’, ‘our’)). You are strongly advised to read thisAgreement as it forms legally binding terms between you and us for your use ofand registration to the Site, your use of the Services and membership of theCommunity.
We may amend and/or alter the terms of this Agreement fromtime to time, and will place the new version on the Site. When we do so, we willplace a notice advising that the terms have been changed on the Site’shomepage at www.thewheellife.com. Your use of the Site from the date that theamended terms are placed on the Site onwards will be governed by those newterms. Your use of the whole/any part of the Site and/or Services following suchchange shall be deemed to be your acceptance of such change. It is yourresponsibility to check regularly to determine whether the terms of thisAgreement have been changed. If you do not agree to any such change then youmust immediately stop using the Site and/or Services.
Your use of particular functionalities and features that arepart of the Service may be subject to additional guidelines, terms, or rules(‘Additional Terms’) which may be posted from time to time on the Site. AllAdditional Terms are incorporated into this Agreement. If there is anyinconsistency between an Additional Term(s) and the terms of this Agreement thenthe terms of this Agreement shall take precedence but only to the extent of anysuch inconsistency.
Certain features, functionality and content may be providedby third parties such as but not limited to media players, online content andfeeds. There may be additional terms governing their use which will not be partof this agreement. In being a member of this Community, you agree to be bound bysuch terms are as applicable to any third party features, functionality andcontent.
1. Access. The service is intended solely for use andaccess by persons that are 18 years of age or older. By accessing the Siteand/or using these Services you are warranting that you are at least 18 yearsold and that you are able to enter into this Agreement. This Site and/orServices may include content that is unsuitable for anyone under the age of 18;if you are under the age of 18 you may only use or register with the Site anduse the Services with the consent of a parent, guardian or adult acting in locoparentis. If you are a parent or guardian or adult acting in loco parentis ofsomeone under the age of 18 who is using the Site and/or Services, you agree toall the terms of this Agreement and our privacy policy and that you shall beresponsible for the conduct and acts and/or omissions of your children in usingthe Site and/or Services as if these were your own.
2. Username and password
(a) In order to become a member of the Community (“Member”), you will also be asked to register. Upon registering you will be required to provide us with your name and a valid email address and asked to choose a username and a password for your Member profile. You are entirely responsible for maintaining the confidentiality of your password and username. You agree not to use the member profile, username, or password of another member at any time. If you suspect any unauthorised use of your Member profile or access to your password you must notify us immediately using the contact form on the Site.
(b) When you register as a Member, you will create an account that is unique to you (“Your Profile”). “Your Profile” is where you can update, correct or delete your personal information as appropriate. If you want to delete Your Profile, please do so using the 'Delete Account' page in the Settings section of Your Profile.
(c) We do not accept any liability whatsoever, howsoever arising, for your inability to receive, access, register for, or otherwise use Site and/or Services or any content contained on or available through the Site and/or the Services, or for any damage caused to your computer and/or associated systems, that results from the incompatibility of your computer and/or its associated systems with the technical specifications that may be posted on Site and/or Services.
(d) Any personal data you transmit to us by electronic mail or otherwise will be used by us in accordance with our Privacy Policy and you accept our Privacy Policy which is available for viewing further down this page.
3. Term. This Agreement will remain in full force andeffect while you use the Site and/or Services and/or are a Member. You mayterminate your membership at any time, for any reason by following theinstructions on the ‘Help’ page, or upon receipt by us of your email noticeof termination, which should be sent to [insert address for notification].We may terminate your membership for any reason effective upon sending notice toyou at the email address you provide in your application for membership or suchother email address as you may later provide to us.
4. Personal use. TheSite and/or Services are for the personal use only, and may not be used inconnection with or for any commercial purpose except with our express writtenpermission (which we may in our absolute discretion decline). This includesproviding links to other websites, whether deemed competitive to us, theCommunity and/or the Site or otherwise. Certain organisations, companies, and/orbusinesses may become members of the Community at our sole discretion. You mustuse the Site and/or Services in a manner consistent with any and all applicablelaws and regulations. You may not engage in advertising to, or solicitation of,other members to buy or sell any products or services through the Services,except as to the extent expressly allowed by us and/or the Community in specificsections of the Services, such as classified adverts or similar section of theServices. You may not transmit any chain letters or junk email to other membersor other parties. Although we may (but are not obliged to monitor the conduct ofits members off the Services, it is nonetheless also a violation of thisAgreement to use any information obtained from the Services and/or the Site inorder to harass, abuse, or harm another person, or in order to contact,advertise to, solicit, or sell to any member without their prior explicitconsent. In order to protect our members from such advertising or solicitation,we reserve the right to restrict the number of emails and other communications(including sharing of content) which a Member may send to other members in anytwenty-four (24) hour period to a number which we deem appropriate in our solediscretion.
5. Prohibited activity. Notwithstanding any otherprovisions of this Agreement, you shall not:
(a) impersonate any person or entity or misrepresent your affiliation with a person or entity for any purpose (including, without limitation, for the purpose of misleading others as to the identity of the sender or the origin of a message or to harvest or otherwise collect information about others);
(b) modify, adapt, translate, or reverse engineer any portion of the Site,
(c) forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content Posted (as defined below) to the Site;
(d) upload, post, email or otherwise transmit or post links or otherwise make available, introduce into or direct to the Site any material that to any material that contains software viruses, worms, Trojan horses, time bombs, trap doors or any other computer code, files or programs or repetitive requests for information designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or to diminish the quality of, interfere with the performance of, or impair the functionality of the Site and/or the Services;
(e) use any device, software or routine to interfere with or disrupt the proper working of the Site, or servers or networks connected to the Site, or any transaction being conducted on the Site, or with any other person’s use of the Site, or disobey any requirements, procedures, policies or regulations of networks connected to the Site;
(f) violate any applicable local, state, national or international law, rules or regulations;
(g) "deep link" to any portion of the Site;
(h) use any robot, spider, other automatic device, or use a site search/retrieval application or other device to retrieve or index any portion of the Site or use any other manual process to monitor or copy the Site’s pages or the content contained thereon or for any other unauthorised purpose without our prior express written permission;
(i) take any action that imposes an unreasonable or disproportionately large load on our infrastructure;
(j) display any of the Site in a frame (or any of our content via in-line links);
(k) engage in any activity that interferes with any third party's ability to use or enjoy the Site; and/or
(l) assist any third party in engaging in any activity prohibited by this Agreement.
You accept that it is your responsibility to installappropriate anti-virus and security software on your computer hardware toprotect against a computer security threat which may be transferred to yourcomputer hardware through the use of the Site and/or Services including but notlimited to viruses, Trojan horses, time bombs or any other form of programmingroutine designed to damage or otherwise impair a computer’s functionality oroperation.
6. Intellectual property rights. Other than in respect ofContent Posted by you this Site and the underlying computer code used by us todesign, operate and maintain the Site and all underlying proprietaryintellectual property rights in the Site and the Services (including but notlimited to copyrights, database rights, trademarks, service marks, patents,database rights, domain name rights,) are either vested in and owned by usabsolutely throughout the world for the full duration of such rights and allpossible renewals, reversions, revivals and extensions thereof and thereafter(insofar as may be or become possible) in perpetuity, or are properly licensedto us to allow us to use the same for the purposes of providing the Site and orthe Services. In addition all content and material (other than material suppliedor uploaded to the Site by you) contained within or available on the Site or viathe Services is protected by rights of copyright, trademarks, service marks,patents, database rights, domain name rights, trade secrets and/or otherproprietary intellectual property rights and laws throughout the world. Unlessexpressly authorised by us, you agree not to sell, license, rent, modify,distribute, copy, reproduce, transmit, publicly display, publicly perform,publish, adapt, edit or create derivative works from materials or contentavailable on the Site or via the Services. Except for intellectual propertywhich is in the public domain or for which you have been given writtenpermission, you may not copy, modify, publish, transmit, distribute, perform,display, or sell any intellectual property and the provision of any intellectualproperty to you through the Site and/or Services does not transfer to you or anythird party any rights, title or interest in or to such intellectual property,including, without limitation, any intellectual property rights in any contentand material included therein.
7. Content. You understand and agree that we may (but arenot obliged to) review any classified ads, content, communication, information,text, material, messages, photos, videos, URLs, profiles and all other similarmatter (and any intellectual property rights related to such material(collectively, ‘Content’) that is provided, sent, uploaded or otherwisesubmitted by you for publication and/or display (hereinafter, ‘Posted’) onthe Site or in connection with the Services. We may delete or refuse to acceptany such Content, including, without limitation, any Content that in our solejudgment violates this Agreement or which might be offensive, inappropriate,illegal, or that might violate the rights, harm, or threaten the safety of othermembers or third parties. You are solely responsible for the Content that youPost, or transmit to other Members or third parties. By Posting Content to anyarea of the Site and/or Services, you automatically grant, and you represent andwarrant that you have the right to grant, to us an irrevocable, perpetual,non-exclusive, royalty-free and fully paid, worldwide license to reproduce,distribute, publicly display and perform and otherwise use such Content for anyand all purposes and on any and all media (whether known now or in the futuredeveloped) and to prepare derivative works of, or incorporate into other works,such Content, and to grant and authorise sublicenses of the foregoing. Inaddition, you represent and warrant that you have the right to Post the Contentand you will not Post any Prohibited Content. For the purposes of this Agreementand the Site and Services, “Prohibited Content” includes, but is not limitedto, content that:
(a) is illegal and/or infringes, misappropriates, violates or contravenes any third party rights (including, without limitation, any intellectual property rights:
(b) is obviously offensive to the online community in general, such as content that promotes racism, bigotry, hatred, discrimination against or physical harm of any kind against any group or individual;
(c) harasses or advocates harassment of another person;
(d) involves the transmission of ‘junk mail’, ‘chain letters’, or unsolicited mass mailing or ‘spamming’;
(e) promotes information that you know is false, misleading or that promotes illegal activities or conduct that is illegal, abusive, threatening, obscene, defamatory or libellous;
(f) promotes an illegal and/or unauthorised (‘pirated’) copy of another person's copyrighted work (whether marked as such, or not), such as, but not limited to, providing pirated computer programs or links to them (nulled software or warez), providing information to circumvent copy-protection mechanisms, or providing pirated music, video or other pirated content, or links to such pirated music, video files, or files that contain such other pirated content;
(g) contains restricted or password only access pages, or hidden pages or images (those not linked to or from another accessible page);
(h) displays pornographic or sexually explicit material of any kind and in any form, or contains nudity, violence, sexually explicit, or other offensive subject matter. You may not post a photograph of another person without that person's permission;
(i) provides material that exploits people in a sexual or violent manner, or solicits personal information from anyone;
(j) provides instructional information about illegal activities such as, but not limited to, making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
(k) solicits passwords or personal identifying information of any kind for commercial or unlawful purposes from other users; and engages in commercial activities and/or commercial sales without our prior written consent, including, without limitation, contests, sweepstakes, barter, advertising, and pyramid schemes;
(l) constitutes, promotes, or is used primarily for the purpose of dealing in: counterfeit goods, illegal drugs and paraphernalia, stolen products and items used for theft, unlicensed trade or dealing in stocks or securities.
(m) otherwise violates the terms of this Agreement or creates liability for us.
You are solely responsible for any activity you engage inand/or the Content that you post on or through the Site. We do not endorse andhave no control over the Content or your use of the Site and/or Services. Wemake no warranties, express or implied, as to such Content or activity and/or toits accuracy or reliability and accept no responsibility or liability whatsoever(howsoever arising) for inappropriate Content or activity that is in breach ofthis Agreement.
We reserve the right (but we are not obliged) to investigateand to take appropriate legal action in its sole discretion against anyone whoviolates this provision, including without limitation, removing the offendingcontent from the service and terminating the membership of such violators.
8. Copyright policy. If you believe that your work hasbeen copied and posted on the Site or used in connection with the Services in away that constitutes copyright infringement, please contact us using the contactform on the Site with the following information:
(a) an electronic or physical signature of the person authorised to act on behalf of the owner of the copyright interest;
(b) a description of the copyrighted work that you claim has been infringed; a description of where the material that you claim is infringing is located on the Site;
(c) your address, telephone number, and email address; and
(d) a written statement by you that you have a good faith belief that the disputed use is not authorised by the copyright owner, its agent, or the law; a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorised to act on the copyright owner's behalf.
9. Member disputes. Your interactions with other Membersin connection with the Site and/or Services or with advertisers, including,without limitation, payment and delivery of goods or services, and any otherterms, conditions, warranties or representations associated with such dealings,are solely between you and the other Members or the advertiser. You agree thatwe will not be responsible or otherwise liable for any losses, costs or damagesor other liability (howsoever arising) incurred as the result of any suchdealings or with respect to any other Member’s use or disclosure of yourpersonally identifiable information. If there is a dispute between you and anythird party, we are under no obligation to become involved; however, we reservethe right, but have no obligation, to monitor disputes between you and otherMembers.
10. Third party content. Content from other members,advertisers, and other third parties (“Third Party Content”) may be madeavailable to you through the Site and/or the Services. To the fullest extentpossible under applicable national and international laws, we accept noliability whatsoever for any liability howsoever arising in connection with suchThird Party Content including but not limited to its accuracy, currency,suitability, or quality of the information in such content, nor for anyunintended, objectionable, inaccurate, misleading, or unlawful Third PartyContent.
11. Indemnity. To the extent permitted under applicablelaws, you hereby fully indemnify and hold harmless us from all claims, demands,losses, damages, costs, charges and expenses (including, without limitation,legal expenses) liability related to:
(a) a claim or alleged by a third party that the provision by you of, or our authorised use of, Content or your use of the Site and/or Services infringes any rights (including, but not limited to, the copyright and/or other intellectual property rights) of any third party;
(b) any breach or alleged breach by you of this Agreement;
(c) any incorrect or inaccurate Content Posted on the Site and/or in connection with the Services whether caused by any user of the Services or Member, or by any of the equipment or programming associated with or utilised in the Services;
(d) any loss or damage caused by Content Posted by you on the Site and/or Services or transmitted by and to members, or any interactions between users of the Site and/or Members, whether online or offline;
(e) any views or opinions expressed by you or from third parties which you quote in your Content.
12. WARRANTIES AND LIMITATION OF LIABILITY
(a) THE PROVISIONS OF THIS CLAUSE 12 APPLY TO YOUR USE OF THE SITE AND/OR THE SERVICES, WHETHER AS A BROWSER AND/OR MEMBER. YOUR USE OF THE SITE AND/OR SERVICES IS AT YOUR SOLE RISK. THE SITE AND/OR SERVICES ARE PROVIDED ON AN "AS-IS" AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAWS, WE EXPRESSLY DISCLAIMS ANY WARRANTY AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE AND DO NOT PROMISE (A) ANY SPECIFIC RESULTS FROM THE USE OF THE SITE AND/OR SERVICES; (B) THAT THE SITE AND/OR SERVICES WILL MEET YOUR REQUIREMENTS; (B) THAT THE SITE AND/OR SERVICES WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; OR (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE AND/OR SERVICES WILL BE ACCURATE OR RELIABLE. WE DO NOT ASSUME ANY OBLIGATION TO MONITOR ACTIVITIES ON THE SITE AND/OR SERVICE.
(b) TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE NATIONAL AND INTERNATIONAL LAW IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT AND/OR INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFIT, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES HOWSOEVER SUCH DAMAGES AND/OR LOSSES ARISE BUT SPECIFICALLY INCLUDING (BUT NOT LIMITED TO) (1) THE USE OR THE INABILITY TO USE THE SITE AND/OR SERVICES (SAVE AS EXPRESSLY SET OUT IN THESE TERMS); (2) UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (3) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SITE AND/OR THE SERVICES; OR (4) ANY OTHER MATTER RELATING TO THE SITE AND/OR THE SERVICES.
(c) We are not responsible for the availability of any external sites or resources, and do not endorse and are not responsible or liable, directly or indirectly, for the privacy practices or the content (including misrepresentative or defamatory content) of any third party websites, including (without limitation) any advertising, products or other materials or services on or available from such websites or resources, nor for any damage, loss or offence caused or alleged to be caused by, or in connection with, the use of or reliance on any such content, goods or services available on such external sites or resources.
13. Applicable laws. This agreement shall be governed bythe laws of England and Wales whose Courts shall be the Courts of exclusivejurisdiction.
14. Electronic communications. The communications betweenyou and us use electronic means, whether you visit the Site or send us emails,or whether we post notices on the Site or communicate with you via email. Youconsent to receive communications from us in an electronic form and agree thatall terms and conditions, agreements, notices, disclosures, and othercommunications that we provide to you electronically satisfy any legalrequirement that such communications would satisfy if it were be in writing. Theforegoing does not affect your non-waivable rights.
15. General. This Agreement contains the entire agreementbetween you and us regarding the use of the Site and/or Services and shallsupersede any and all other conditions, understandings, commitments, agreementsor representations (except fraudulent misrepresentations) relating to your useof the Site and/or Services, whether oral or in writing. We advise that youprint off and keep safe a copy of this Agreement once you have accepted the sameupon registering with the Site. You are further advised to read (and areresponsible for reading) all information on this Site fully. If any provision ofthis Agreement is held invalid, the remainder of this Agreement shall continuein full force and effect. Notwithstanding any other provisions herein, no partywill be deemed as a third-party beneficiary to this Agreement and a third party(including another Member) who is not a party to this Agreement has no right toenforce any term of this agreement. If any provision of this Agreement is foundto be invalid or unenforceable, such provision will be changed and interpretedto accomplish the objectives to the greatest extent possible under anyapplicable law and the remaining provisions will continue in full force andeffect. Our failure to exercise or enforce any right or provision of thisAgreement shall not operate as a waiver of such right or provision. The sectiontitles in this Agreement are for convenience only and have no legal orcontractual effect. Please contact us with any questions regarding thisAgreement.
16. Termination and suspension. We reserve the right,without prejudice to any other rights and remedies available to us under thisAgreement or generally at law, to suspend or terminate your registration and/oruse of the Site and/or Services and/or Your Account immediately upon being madeaware of any breach or potential breach by you of any term of this Agreement. Wefurther reserve the right at any time to suspend, modify or discontinue,temporarily or permanently, any portion of the Site and/or Services and/or YourAccount with or without prior notice. You agree that we will not be liable toyou or to any third party for any such suspension, modification ordiscontinuance.
17. Force majeure. We will make reasonable efforts tokeep the Site and/or Services operational. However, we shall not be in breach ofthis Agreement where the Site and/or Services is/are unavailable for any kind ofreasons including but not limited to:
(a) fire, flood, lightning, war, revolution, terrorism, riot, strike, lock-out or other industrial action, failure of supplies of power, fuel, transport , equipment, raw materials or other goods or services, failure or defects in any third party software or services, or failure in provision of telecommunication or internet services by third parties acting on our behalf;
(b) service loss due to viruses or hackers or any third party interference with the Site, Services and/or the internet;
(c) your inability to connect your computer to the internet, or any failure to access the Site and/or Services as a result of any act or omission of your internet service provider, or any defects, incompatibilities or outages in your hardware, network, software or telecommunications provider;
(d) any breach by you of any term of this Agreement;
(e) routine maintenance/upgrades and/or emergency maintenance (either performed by us or a third party service provider acting on our behalf). We shall use our reasonable endeavours to provide you via the homepage of the Site and/or Services with as much advance notification of such maintenance as is reasonably possible;
(f) any other reason.
We also reserve the right at any time and from time to timeto modify or discontinue, temporarily or permanently, functions of the Siteand/or Services with or without notice. You agree that we shall not be liable toyou or to any third party for any of the direct or indirect consequences of anymodification, suspension, discontinuance of or interruption to the Site and/orServices.
